peyton manning clearing Waivers

Every where I read it says that when Peyton Manning clears waivers on Thursday he will be free to sign with any team. Why would he clear waivers couldn't a team with a low record last year like the browns claim him. So why does he not get claimed

then you would have to claim his contract with it
